Overview
A leading international law firm is seeking a mid-level associate to join its New York-based M&A practice. The team advises public and private companies, private equity sponsors, and strategic investors on a broad range of domestic and cross-border transactions across multiple industries.
Key Responsibilities
Advise clients on a wide range of M&A transactions, including acquisitions, divestitures, mergers, joint ventures, and strategic investments
Draft, review, and negotiate transaction documents, including merger agreements, stock and asset purchase agreements, and ancillary agreements
Manage due diligence processes and coordinate with specialist teams (e.g., tax, antitrust, finance, employment)
Support transaction execution from initial structuring through signing and closing
Assist with public company transactions, including those involving the U.S. Securities and Exchange Commission (SEC) reporting and disclosure requirements
Advise on corporate governance matters and general corporate issues
Work closely with clients, opposing counsel, and internal stakeholders in fast-paced deal environments
Supervise junior associates and manage deal workstreams
Candidate Profile
J.D. from an accredited U.S. law school and admission to the New York bar
Typically 3–5 years of experience in M&A and general corporate transactions at a leading law firm
Strong experience drafting and negotiating principal transaction documents
Familiarity with public and private M&A, including knowledge of relevant securities laws and market practice
Excellent analytical, drafting, and communication skills
Ability to manage multiple transactions and deadlines simultaneously
Commercially minded with strong client service orientation
